Town of Essex Creates E.L.K. Energy Inc. Legacy Investment Fund
The Town of Essex has officially completed the sale of 100 per cent of the shares of E.L.K. Energy Inc. and E.L.K. Solutions Inc., marking the completion of one of the most significant financial transactions in the municipality's history.
Following the completion of the sale and repayment of debt, legal fees and transaction costs, the Town expects to receive approximately $21.9 million in net proceeds.
The sale concludes a strategic review process that began in 2022 to evaluate the future of E.L.K. Energy Inc. and determine how the Town could best maximize the value of its investment while ensuring continued, reliable utility service for customers. In March 2025, Council approved the sale of E.L.K. Energy Inc. to ENWIN Utilities Ltd., recognizing the organization for its strong technical expertise, commitment to innovation, and demonstrated dedication to serving the communities it supports. The transaction officially closed on November 28, 2025.
"This marks an important milestone for the Town of Essex," said the Mayor of the Town of Essex. "Council made the decision to pursue the sale after careful consideration of what would deliver the greatest long-term value for our community. The successful completion of this transaction allows us to invest in today's priorities while creating a lasting financial benefit that will support Essex residents for generations."
Earlier this month, Council allocated approximately $6.9 million of the sale proceeds toward priority capital projects, including the new sports field development, Fire Station 3, and the Town Hall expansion.
Council has now approved the establishment of the E.L.K. Legacy Reserve, which will preserve the remaining estimated $15 million as a long-term municipal investment. Rather than spending the remaining proceeds on one-time projects, the Town will retain the principal investment and use annual investment income to help fund future infrastructure renewal, reduce future tax pressures, and to reinvest into the portfolio to further strengthen financial sustainability.
Based on current market conditions, the annual investment income is conservatively estimated at approximately $600,000, creating a new recurring revenue source that can help address future infrastructure needs while reducing reliance on property taxes.
The annual investment income will be allocated as follows:
- 70 per cent toward core infrastructure replacement through the Town's Asset Management Plan;
- 10 per cent toward new core capital projects; and
- 20 per cent reinvested to grow the fund over time.
The investment strategy was developed in accordance with the Municipal Act, 2001 and the Town's Investment Policy and is designed to preserve the principal while generating stable, long-term returns through a diversified investment portfolio.
The Town will receive annual reports to inform council of the performance of the investment portfolio, ensuring continued transparency and accountability as the E.L.K. Legacy Reserve supports the community well into the future.
